- Entity and law
- Kivo Club Ltd · England and Wales
DraftDraft for the lawyer; not for publication.
- 1Parties and definitions. Kivo Club Ltd ("Kivo"). The member firm (the company, LLP, partnership or, if admitted, sole trader named in the application). The member (the signatory). Cardholder. The Register, the Stamp, the Desk, the Ledger, Kivo Points, the Kivo Card, a Return, Conversion, Reversal, Void. Tiers: Kivo Bench, Kivo Works, Kivo Board.
- 2Eligibility. UK-registered company, LLP, partnership (sole traders: to be decided, spec 16.7) with a UK bank account; Bench up to 9 staff, Works 10 to 250; identity, company, sanctions and PEP checks by Kivo's checking partner; Kivo may decline an application and need not give a reason where the law so permits.
- 3Membership. Starts when the checks pass and the first payment is made; the member number is issued once and never reused. Tier change applies from the next billing date; cardholder limits follow the tier (Bench 1, Works 5). Board by invitation of the Register panel, capped at 250 firms, no fee beyond Works, may be withdrawn by the panel.
- 4Fees. As quoted on application and printed beside the tier before payment; monthly or annual, by card or Direct Debit; VAT shown separately. The fee never converts to Points and no Points, credit or benefit is given in return for paying it (see Points terms 2). Failed payment: 14 days to pay, then suspension of the Register and the Desk; the Ledger remains readable.
- 5The Register and the Stamp. Kivo's own register; no statutory status. The Stamp records that a supplier passed Kivo's published checks for the year shown and is not a warranty, guarantee or endorsement of the supplier's work. Contracts for services are between the member firm and the supplier; Kivo is not a party and is not liable for a supplier's performance. Members with a settled invoice may rate suppliers; ratings are not published.
- 6The Desk and introductions. Staffed help in published hours; introductions are information, not advice; maximum three suppliers per case; the member chooses.
- 7The Kivo Card. Issued by the card issuer under the cardholder terms, which the cardholder accepts separately; Kivo is the programme owner and holds no funds; balances are e-money, not covered by the FSCS; fees as published in the app before issue; Kivo never stores card numbers.
- 8Cardholders. Added by the member; identity verified by the issuer; spend from the firm balance; the firm is responsible for its cardholders' use.
- 9Data. Per the privacy policy; a supplier sees only the introductions the member accepts and its own invoices; accountant links are read-only and revocable.
- 10Conduct. No misuse of the Stamp, the Register or the Desk; no transfer of membership; Kivo may end membership for breach with written reasons.
- 11Notice and ending. One month's notice by the member in the app; Points convertible for 90 days after the end date, then void (Points terms 6); the Ledger export available for 6 years; card balances per the cardholder terms. Kivo may end membership on one month's notice or at once for breach, fraud or a failed check.
- 12Liability. To be drafted by the lawyer; nothing excludes liability that cannot lawfully be excluded.
- 13Changes. Kivo may change these terms with one month's notice; material changes require re-acceptance at sign-in; version and date shown.
- 14Complaints. To the Desk first; written response within 10 working days; escalation route to be set.
- 15Law. England and Wales; courts of England and Wales.
